NO PURCHASE OR PAYMENT IS NECESSARY TO ENTER OR WIN THIS SWEEPSTAKES. A PURCHASE WILL NOT IMPROVE YOUR CHANCES OF WINNING.

SPONSOR: The San Diego FC “Enter to Win Group Tickets for Nashville Match” promotion (“Promotion”) is sponsored by SDFC Team, LLC, doing business as San Diego FC, with its business address at 2100 Kettner Boulevard, Suite 350, San Diego, CA 92101 (“Sponsor”). The MLS Entities are not sponsors or administrators of this Promotion and are in no way responsible or liable for the administration of this Promotion.

ELIGIBILITY: The Promotion is only open to legal residents of California who are 18 years of age or older at the time of entry and who live within a seventy-five (75) mile radius of 2101 Stadium Way, San Diego, CA, 92108, excluding Orange County (“Territory”). Employees, officers, and directors, their immediate family members (spouse, parent, child and sibling and their respective spouses, regardless of where they reside) and members of the same household, whether or not related, of the Sponsor, Major League Soccer, L.L.C. (“MLS”), Soccer United Marketing, LLC (“SUM”), Pro Soccer Development, LP (“MLSNP”), and Player Development, LLC (“PDEV”, and together with MLS, SUM, and MLSNP, the “MLS Entities”) and each of their respective parents, affiliated companies, subsidiaries, and any and all other companies associated with the Promotion are not eligible to participate or win a prize. The Promotion is void outside of the Territory and where prohibited.

ENTRY PERIOD: The Promotion has one (1) entry period, which begins on June 24, 2025 at 9:00 a.m. pacific time and ends on July 21, 2025 at 5 p.m. pacific time] (the “Entry Period”). All entries must be received during the Entry Period. Sponsor’s clock shall determine the beginning and end of the Entry Period.

HOW TO ENTER: There is one method of entry:

1. Online Entry: Visit https://tradablebits.com/tb_app/524652 and fully complete and submit the official entry form during the Entry Period.

Upon submission, all entries become the property of Sponsor. Only one (1) entry per person and per e-mail address will be accepted. Multiple entries received by the same person or e-mail address will be void.

WINNER SELECTION: On the day after the end of the Entry Period, three (3) winners will be randomly selected from all eligible entries. Each potential winner will be notified by email and/or telephone and will be required to verify their identity to Sponsor. If a potential winner: (i) cannot be contacted or verified; (ii) does not respond within two (2) days from the date the Sponsor first tries to notify them; (iii) if requested, fails to return the Declaration of Eligibility and Release described below; or (iv) refuses the Prize, such potential winner forfeits all rights to receive the Prize, and an alternate potential winner may be selected at Sponsor’s sole discretion.

PRIZE: The Promotion will have three (3) potential winners. The prize for each winner (the “Prize”) will be:

· Ten (10) match tickets to attend San Diego FC’s match against Nashville SC on July 25, 2025 (the “Match”) at Snapdragon Stadium in San Diego, California in seat locations selected by Sponsor; and

· A payment of three hundred and fifty-five US Dollars ($355.00) (“Tax Gross-Up Payment), which may be used to offset his or her income taxes (or a portion of his or her income taxes) incurred when accepting the Prize

The approximate retail value of each Prize is $1050.00. The Prize is not transferable and has no cash value. The Prize cannot be substituted by the winner except at the sole discretion of Sponsor. Sponsor reserves the right to substitute the Prize or any part of the Prize for one of equal or greater approximate retail value at its sole discretion. A potential winner may be required to sign a Declaration of Eligibility and Release to receive the Prize.

Travel to and from the Match, as well as any required or desired accommodation, are the responsibility of the winner.

The Match is subject to cancellation, rescheduling or delay.

TAXES: Each Prize winner is responsible for all costs and expenses associated with accepting the Prize, as well as all federal, state, and local income and other taxes associated with accepting the Prize. Each Prize winner will be issued a 1099-MISC tax form for the approximate retail value of the Prize. Prize winners may be required to provide Sponsor with a valid social security number before the Prize will be awarded for tax reporting purposes. An IRS Form 1099 may be issued in the name of the Prize winner for the actual value of the Prize received. Each Prize winner’s actual tax liabilities related to the Prize could exceed the Tax Gross-Up Payment, and Sponsor will not provide any further assistance or amounts toward a Prize winner’s tax obligations.

ODDS OF WINNING: The odds of winning will depend on the number of eligible entries submitted during the Entry Period.

WINNER LIST: For the name of the winner and the number of participants, mail a self-addressed and stamped envelope to: Enter to Win Group Tickets for Nashville Match, c/o San Diego FC, 2100 Kettner Boulevard, Suite 350, San Diego, CA 92101, by no later than December 31, 2025.

RELEASE OF LIABILITY: By entering the Promotion, each entrant forever releases, holds harmless and discharges the Sponsor, the MLS Entities, any other party associated with this Promotion, their affiliated entities, and each of their respective officers, directors, members, shareholders, employees, agents, representatives, successors and assigns (the “Released Parties”) from any and all liability whatsoever in connection with this Promotion and/or the receipt and use of the Prize, including without limitation legal claims, costs, injuries, losses or damages, demands or actions of any kind (including without limitation personal injuries, death, damage to, loss or destruction or property, rights of publicity or privacy, defamation, or portrayal in a false light) (collectively, “Claims”). Acceptance of the Prize by the winner constitutes an unconditional waiver and release by the winner of any and all Claims against the Released Parties.

CONSENT: Acceptance of a Prize constitutes the consent of the winner, without further compensation or approval, for Sponsor and the MLS Entities to use the winner’s name, identity, likeness, biographical data, and contact information for editorial, advertising, marketing, publicity, and administrative purposes by the Sponsor and/or others authorized by the Sponsor.

USE OF PERSONAL INFORMATION: All information submitted by an entrant is subject to MLS’ Terms of Service and MLS’ Privacy Policy. By submitting contact or other personal information in connection with this Promotion, an entrant permits Sponsor, the MLS Entities, and their respective directors, officers, employees, agents and assigns to use entrant’s personal information for purposes of administering the Promotion. When entering the Promotion, entrants may also opt-in to be added to Sponsor’s fan marketing database and to permit Sponsor, the MLS Entities, and their respective sponsors and commercial partners to contact entrant in the future to share marketing and promotional materials and for other similar reasons. Participants may opt-out of receiving such communications as set forth in MLS’ Privacy Policy or as provided within applicable marketing materials. The information participants provide to Sponsor will only be used in accordance with MLS’ Privacy Policy.

GOVERNING LAW AND JURISDICTION: This Promotion and any issues concerning the construction, validity, interpretation, and enforceability of these Official Rules shall be governed by the laws of the State of California, without regard to any principles of conflict of laws. All disputes arising out of or connected with this Promotion will be resolved individually, and without resort to class action, exclusively by a state or federal court located in San Diego County, California. To the extent permitted by applicable law, all judgments or awards shall be limited to actual out-of-pocket damages (excluding attorneys’ fees) associated with participation in this Promotion and shall not include any indirect, punitive, incidental and/or consequential damages.

IMPORTANT INFORMATION: Sponsor and the Released Parties are not responsible for entries that are lost, late, misdirected, incorrect, garbled, or incompletely received, for any reason, including by reason of hardware, software, browser, or network failure, malfunction, congestion, or incompatibility with Sponsor’s servers or elsewhere. In the event of a dispute, entries will be deemed submitted by the authorized account holder of the e-mail address submitted at the time of entry. “Authorized account holder” is defined as the natural person who is assigned to an e-mail address by an Internet Access Provider, online service provider, or other organization (e.g., business, educational institute) that is responsible for assigning e-mail addresses for the domain associated with the submitted e-mail address. Sponsor, in its sole discretion, reserves the right to disqualify any person tampering with the entry process or the operation of the web site or otherwise attempting to undermine the legitimate operation of the Promotion. Use of bots or other automated process to enter is prohibited and may result in disqualification at the sole discretion of Sponsor. Sponsor further reserves the right to cancel, terminate or modify the Promotion if it is not capable of completion as planned, including by reason of infection by computer virus, bugs, tampering, unauthorized intervention, force majeure, or technical failures of any sort. Sponsor and the Released Parties are not responsible for errors in the administration or fulfillment of this Promotion, including without limitation mechanical, human, printing, distribution, or production errors, and Sponsor may cancel, terminate or modify this Promotion based upon any such error(s) at its sole discretion without liability. If Sponsor cancels the Promotion, Sponsor has the right to award the Prize in one or more random drawings from all eligible entries received prior to the time of cancellation. In no event will Sponsor be responsible for awarding more than the Prize specified in these Official Rules. SPONSOR AND THE RELEASED PARTIES MAKE NO WARRANTIES, REPRESENTATIONS OR GUARANTEES, EXPRESS OR IMPLIED, REGARDING THIS PROMOTION OR THE MERCHANTABILITY, QUALITY OR FITNESS FOR A PARTICULAR PURPOSE REGARDING THE PRIZE OR ANY COMPONENT OF THE PRIZE. THE PRIZE WILL BE PROVIDED “AS IS” WITHOUT ANY WARRANTIES OF ANY KIND. ANY ATTEMPT BY AN ENTRANT TO DELIBERATELY DAMAGE SPONSOR’S WEBSITE OR UNDERMINE THE LEGITIMATE OPERATION OF THIS PROMOTION MAY BE A VIOLATION OF CRIMINAL AND/OR CIVIL LAWS, AND SHOULD SUCH AN ATTEMPT BE MADE, SPONSOR RESERVES THE RIGHT TO SEEK REMEDIES AND DAMAGES (INCLUDING WITHOUT LIMITATION ATTORNEYS’ FEES) FROM ANY SUCH ENTRANT TO THE FULLEST EXTENT OF THE LAW. The value of the Prize set forth above represent Sponsor’s good faith determination of the approximate retail value thereof; the actual fair market value as ultimately determined by Sponsor IS final and binding and cannot be challenged or appealed. In the event the stated approximate retail value of the Prize is more than the actual fair market value of the Prize, the difference will not be awarded in cash or otherwise. No substitution or compensation will be given for any portion of the Prize that is not used.
