SAN DIEGO FC “CINCO EN MAYO” OFFICIAL RULES

NO PURCHASE OR PAYMENT IS NECESSARY TO ENTER OR WIN THIS

SWEEPSTAKES.  A PURCHASE WILL NOT IMPROVE YOUR CHANCES OF WINNING. 

SPONSOR:  

The San Diego FC “Cinco En Mayo” promotion (“Promotion”) is sponsored by SDFC Team,

LLC, doing business as San Diego FC, with its business address at 2100 Kettner Boulevard, Suite 350, San Diego, CA 92101 (“Sponsor”).  The MLS Entities are not sponsors or administrators of this Promotion and are in no way responsible or liable for the administration of this Promotion.

ELIGIBILITY:  The Promotion is only open to legal residents of California who are 18 years of age or older at the time of entry and who live within a seventy-five (75) mile radius of 2101 Stadium Way, San Diego, CA, 92108, excluding Orange County (“Territory”).  Employees, officers, and directors, their immediate family members (spouse, parent, child and sibling and their respective spouses, regardless of where they reside) and members of the same household, whether or not related, of the Sponsor, Major League Soccer, L.L.C. (“MLS”), Soccer United Marketing, LLC (“SUM”), Pro Soccer Development, LP (“MLSNP”), and Player Development, LLC (“PDEV”, and together with MLS, SUM, and MLSNP, the “MLS Entities”) and each of their respective parents, affiliated companies, subsidiaries, and any and all other companies associated with the Promotion are not eligible to participate or win a prize. The Promotion is void outside of the Territory and where prohibited. 

ENTRY PERIOD: The Promotion has one (1) entry period, which begins Monday April 28, 2025 at 7:00 PM PT, and ends on May 31, 2025 at 11:59pm PT (the “Entry Period”).  All entries must be received during the Entry Period. Sponsor’s clock shall determine the beginning and end of the Entry Period.  

HOW TO ENTER:  There are two (2) methods of entry: 

1.     Season Ticket Member Entry:  The primary account holder of either: (a) a San Diego FC season ticket membership for the 2025 MLS Season, or (b) a San Diego FC premium hospitality license for the 2025 MLS Season (each an “Eligible Account”), will be automatically entered into the Promotion if at least one match ticket that is part of an Eligible Account is scanned for entry into Snapdragon Stadium for at least four (4) of the five (5) San Diego FC home matches held at Snapdragon Stadium over the month of May 2025 and the scanned match ticket has not been transferred by the primary account holder to a third party (either through a resale or transfer to a guest/invitee).  

2.     Online Entry: Entrants can also participate in the Promotion without holding an Eligible Account or attending any San Diego FC home matches in May 2025 by visiting  https://tradablebits.com/tb_app/524075 and fully completing and submitting the entry form during the Entry Period.   

Upon submission, all entries become the property of Sponsor.  Only one (1) entry per person and per e-mail address or Eligible Account (as applicable) will be accepted.  Multiple entries received by the same person or e-mail address will be void. 

WINNER SELECTION:  Shortly after the Entry Period, one (1) potential winner will be randomly selected from all eligible entries for each Prize.  In total, eight (8) potential winners will be randomly selected.  Each potential winner will be notified by email and/or telephone and will be required to verify their identity to Sponsor. If a potential winner: (i) cannot be contacted or verified; (ii) does not respond within five (5) days from the date the Sponsor first tries to notify them; (iii) if requested, fails to return the Declaration of Eligibility and Release described below; or (iv) refuses the Prize, such potential winner forfeits all rights to receive the Prize, and an alternate potential winner may be selected at Sponsor’s sole discretion. 

PRIZE:  The Promotion will have eight (8) potential winners.  Each winner will receive one (1) of the following eight (8) prizes (each individually and collectively, the “Prize”).  : 1. Two (2) tickets to the 2025 MLS All-Star game (ARV $280.00);

2.     Two (2) tickets to a 2025 San Diego FC home match selected by Sponsor with one (1) on-field pre match experience for the two attendees (ARV $140.00);

3.     One (1) 3-month pass of unlimited car washes at all Soapy Joe’s car wash locations in San Diego County, CA. (ARV $100.00 value);

4.     Two (2) round-trip flight vouchers from Alaska Airlines. Each voucher is valid for flights marketed by Alaska Airlines with flight numbers 1-1499, 2000-2959, and 3300- 3499. Travel is subject to Alaska Airlines' Contract of Carriage and applicable policies. Mileage Plan™ miles cannot be earned or credited. First class paid upgrades or Mileage Plan™ upgrades are allowed. Standard baggage fees apply; see Alaska Airlines’ checked baggage policy and flight schedules at www.alaskaair.com for more details. Once ticketed, fare rules apply regarding changes to itinerary. A voucher cannot be redeemed for cash or exchanged for credit for future flights and is void if bartered or sold. If lost, a voucher may not be reissued. Once ticketed, changes to passenger name, origin city or destination are not allowed. (ARV varies);

5.     One (1) DIRECTV/San Diego FC merchandise bundle including one (1) DIRECTV x SDFC Scarf, one (1) official San Diego FC jersey signed by San Diego FC players, one (1) DIRECTV Rally towel, one (1) Military Appreciation Flag, and one (1) DIRECTV branded shirt (ARV $500.00);

6.     One (1) adidas soccer merchandise bundle (includes duffel bag, gift card and soccer ball) (ARV $600.00);

7.     One (1) pair of Sony headphones WH-1000XM5 and one (1) Sony camera ZV-1 II ) (ARV $1299.98)

For a Prize including match tickets, the match is subject to cancellation, rescheduling or delay and the Prize winner is responsible for transportation to and from the match venue to attend, as well as any required or desired accommodation.

The Prize is not transferable and has no cash value.  The Prize cannot be substituted by a winner except at the sole discretion of Sponsor.  Sponsor reserves the right to substitute the Prize or any part of the Prize for one of equal or greater approximate retail value at its sole discretion. A potential winner may be required to sign a Declaration of Eligibility and Release to receive the Prize.

TAXES:  Each Prize winner is responsible for all costs and expenses associated with accepting the Prize, as well as all federal, state, and local income and other taxes associated with accepting the Prize.  Each Prize winner may be issued a 1099-MISC tax form for the approximate retail value of the Prize.  Prize winners may be required to provide Sponsor with a valid social security number before the Prize will be awarded for tax reporting purposes.  An IRS Form 1099 may be issued in the name of the Prize winner for the actual value of the Prize received.  

ODDS OF WINNING:  The odds of winning will depend on the number of eligible entries submitted during the Entry Period. 

WINNER LIST:  For the name of each winner and the number of participants, mail a selfaddressed and stamped envelope to: Cinco En Mayo, c/o San Diego FC, 2100 Kettner Boulevard, Suite 350, San Diego, CA 92101, by no later than August 31, 2025. 

RELEASE OF LIABILITY:  By entering the Promotion, each entrant forever releases, holds harmless and discharges the Sponsor, the MLS Entities, any other party associated with this Promotion, their affiliated entities, and each of their respective officers, directors, members, shareholders, employees, agents, representatives, successors and assigns (the “Released Parties”) from any and all liability whatsoever in connection with this Promotion and/or the receipt and use of the Prize, including without limitation legal claims, costs, injuries, losses or damages, demands or actions of any kind (including without limitation personal injuries, death, damage to, loss or destruction or property, rights of publicity or privacy, defamation, or portrayal in a false light) (collectively, “Claims”).  Acceptance of the Prize by the winner constitutes an unconditional waiver and release by the winner of any and all Claims against the Released Parties. 

CONSENT: Acceptance of a Prize constitutes the consent of the winner, without further compensation or approval, for Sponsor and the MLS Entities to use the winner’s name, identity, likeness, biographical data, and contact information for editorial, advertising, marketing, publicity, and administrative purposes by the Sponsor and/or others authorized by the Sponsor. 

USE OF PERSONAL INFORMATION:  All information submitted by an entrant is subject to MLS’ Terms of Service and MLS’ Privacy Policy .  By submitting contact or other personal information in connection with this Promotion, an entrant permits Sponsor, the MLS Entities, and their respective directors, officers, employees, agents and assigns to use entrant’s personal information for purposes of administering the Promotion.  Entrants may also opt-in to be added to Sponsor’s fan marketing database and to permit Sponsor, the MLS Entities, and their respective sponsors and commercial partners to contact entrant in the future to share marketing and promotional materials and for other similar reasons. Participants may opt-out of receiving such communications as set forth in MLS’ Privacy Policy or as provided within applicable marketing materials. The information participants provide to Sponsor will only be used in accordance with MLS’ Privacy Policy . 

GOVERNING LAW AND JURISDICTION:  This Promotion and any issues concerning the

construction, validity, interpretation, and enforceability of these Official Rules shall be governed by the laws of the State of California, without regard to any principles of conflict of laws. All disputes arising out of or connected with this Promotion will be resolved individually, and without resort to class action, exclusively by a state or federal court located in San Diego County, California. To the extent permitted by applicable law, all judgments or awards shall be limited to actual out-of-pocket damages (excluding attorneys’ fees) associated with participation in this Promotion and shall not include any indirect, punitive, incidental and/or consequential damages. 

IMPORTANT INFORMATION:  Sponsor and the Released Parties are not responsible for entries that are lost, late, misdirected, incorrect, garbled, or incompletely received, for any reason, including by reason of hardware, software, browser, or network failure, malfunction, congestion, or incompatibility with Sponsor’s servers or elsewhere. In the event of a dispute, entries will be deemed submitted by the authorized account holder of the e-mail address submitted at the time of entry. “Authorized account holder” is defined as the natural person who is assigned to an e-mail address by an Internet Access Provider, online service provider, or other organization (e.g., business, educational institute) that is responsible for assigning e-mail addresses for the domain associated with the submitted e-mail address. Sponsor, in its sole discretion, reserves the right to disqualify any person tampering with the entry process or the operation of the web site or otherwise attempting to undermine the legitimate operation of the Promotion. Use of bots or other automated process to enter is prohibited and may result in disqualification at the sole discretion of Sponsor. Sponsor further reserves the right to cancel, terminate or modify the Promotion if it is not capable of completion as planned, including by reason of infection by computer virus, bugs, tampering, unauthorized intervention, force majeure, or technical failures of any sort. Sponsor and the Released Parties are not responsible for errors in the administration or fulfillment of this Promotion, including without limitation mechanical, human, printing, distribution, or production errors, and Sponsor may cancel, terminate or modify this Promotion based upon any such error(s) at its sole discretion without liability.  If Sponsor cancels the Promotion, Sponsor has the right to award the Prize in one or more random drawings from all eligible entries received prior to the time of cancellation. In no

event will Sponsor be responsible for awarding more than the Prize specified in these Official

Rules. SPONSOR AND THE RELEASED PARTIES MAKE NO WARRANTIES,

REPRESENTATIONS OR GUARANTEES, EXPRESS OR IMPLIED, REGARDING THIS

PROMOTION OR THE MERCHANTABILITY, QUALITY OR FITNESS FOR A

PARTICULAR PURPOSE REGARDING THE PRIZE OR ANY COMPONENT OF THE

PRIZE.  THE PRIZE WILL BE PROVIDED “AS IS” WITHOUT ANY WARRANTIES OF

ANY KIND.  ANY ATTEMPT BY AN ENTRANT TO DELIBERATELY DAMAGE

SPONSOR’S WEBSITE OR UNDERMINE THE LEGITIMATE OPERATION OF THIS PROMOTION MAY BE A VIOLATION OF CRIMINAL AND/OR CIVIL LAWS, AND

SHOULD SUCH AN ATTEMPT BE MADE, SPONSOR RESERVES THE RIGHT TO SEEK

REMEDIES AND DAMAGES (INCLUDING WITHOUT LIMITATION ATTORNEYS’ FEES) FROM ANY SUCH ENTRANT TO THE FULLEST EXTENT OF THE LAW. The

value of the Prize set forth above represent Sponsor’s good faith determination of the approximate retail value thereof; the actual fair market value as ultimately determined by Sponsor IS final and binding and cannot be challenged or appealed. In the event the stated approximate retail value of the Prize is more than the actual fair market value of the Prize, the difference will not be awarded in cash or otherwise. No substitution or compensation will be given for any portion of the Prize that is not used. 

The MLS Entities are not sponsors or administrators of this Promotion and are in no way responsible or liable for the administration of this Promotion. All trademarks used are the property of their respective owner(s) and are used for descriptive purposes only.
